Affiliate Program Terms

1. Provider and scope
The CalorieMeister Affiliate Program is provided by Oliver Demuth, sole proprietor, Am Kirchenberg 9, 2132 Hörersdorf, Austria (hereinafter “we” or “us”). Further details are available in our Legal Notice.
These Terms apply to all individuals and businesses expressly accepted by us into the Affiliate Program (each an “Affiliate”). Deviating terms apply only if agreed in writing.
2. Application and participation
Applying does not automatically grant participation. A contract for participation is formed only when we expressly approve the application and activate a personal creator code.
Affiliates must be at least 18, have legal capacity, and meet all trade, tax, professional and other requirements applicable to paid affiliate activity in their country of residence or establishment. We may request suitable evidence and complete payout details.
3. Creator code, user benefit and attribution
The Affiliate receives a personal creator code. Under the standard public offer, a new user who successfully redeems this code in CalorieMeister receives seven days of Premium. The free Premium period alone does not generate commission.
A new commissionable attribution is created only if the user makes their first genuine paid CalorieMeister subscription purchase via Apple or Google within 30 days after redeeming the code. The first referral or creator code successfully redeemed and accepted by the user account is decisive. A later code entry, device change or account transfer does not restart attribution.
4. Commission and commission period
The public standard commission is 30% of eligible net subscription revenue. The standard commission period runs for no more than 12 months from the referred user's first paid subscription. For an annual subscription, the first eligible annual purchase counts. For a monthly subscription, eligible payments within that 12-month period count.
The commission rate and duration in effect when a referred user makes their first paid purchase are retained for that attribution. Later changes generally apply only to newly attributed paying users. Individually agreed written terms take precedence over the public standard terms.
5. Eligible net subscription revenue
The starting point is the subscription revenue reported by the relevant app store or its billing service. Eligible net subscription revenue takes into account store fees, applicable sales and similar taxes, refunds, chargebacks, discounts and other store adjustments.
In particular, no commission is earned on free Premium periods, free or test transactions, self-referrals, abusive duplicate accounts, fully refunded payments, or purchases outside the valid attribution or commission period. Where reliable calculation data is unavailable, a transaction may be held for manual review.
6. Safety period, settlement and payout
Each positive commission is subject to a standard 35-day safety period from the related payment. It becomes payable after that period unless a review or adjustment is required.
Payable commissions are generally collected monthly. The standard minimum payout is USD 50. If the threshold is not reached, the balance rolls over to the next settlement period. The payout method, recipient details, any required invoice, and payment in a different currency are agreed and documented before the first payout.
7. Refunds and later adjustments
If a commissionable payment is refunded, charged back or adjusted by the store, the related commission is reversed. Negative adjustments that have already been paid may be offset against future commission. If future balances are insufficient, the parties will agree on a reasonable settlement.
8. Advertising disclosure and permitted promotion
The Affiliate must clearly and unambiguously disclose the commercial nature of a recommendation as required by applicable law, including by using a prominent “Advertisement”, “Ad”, “Sponsored” or equivalent clear disclosure.
The following are prohibited in particular:
- false, misleading or unsubstantiated claims,
- guaranteed health, treatment or weight-loss claims,
- spam, unsolicited direct messages or automated distribution,
- self-referrals, duplicate accounts or other manipulation,
- impersonation of our brand, accounts or website,
- bidding on our brand terms without prior approval, and
- discounts or benefits not confirmed by us.
9. Brand and content
During active participation, the Affiliate may use brand materials supplied by us solely to promote CalorieMeister in accordance with these Terms. Modification, redistribution, registration of similar domains or social-media names, and any suggestion of official representation require our prior approval. The Affiliate retains rights in their own original content.
10. Transparency and privacy
Technical attribution is account-based and uses the creator code together with confirmed store events. Affiliates do not receive access to the names, email addresses, health data, meals or other personal app content of referred users. Aggregated metrics and transaction-related settlement information may be provided for accounting purposes.
Personal data relating to the Affiliate is processed to review the application, operate the program, settle commission and meet legal obligations. Our Privacy Policy also applies.
11. Taxes, duties and independent activity
The Affiliate acts independently and is not our employee, commercial agent or corporate partner. The Affiliate is solely responsible for properly declaring income, issuing any required invoices or supporting documents, and meeting all applicable tax, social-security, trade and professional obligations.
12. Duration and termination
Participation continues indefinitely and may be terminated by either party at any time in text form. No new users may be commissionably attributed after termination. Existing valid commission periods continue under their retained terms unless the termination results from fraud, manipulation or a material breach.
In the event of a serious breach, we may immediately deactivate the code, review open transactions and reverse improperly created commission. Undisputed claims that have already validly arisen remain unaffected.
13. Program changes
We may develop, restrict or discontinue the program for objective reasons. Active Affiliates will be notified of material changes in text form. Changes to commission and duration generally apply only to new attributions; retained terms remain unaffected except where legal or abuse-prevention measures require otherwise.
14. Liability
We are liable without limitation for intent and gross negligence, for injury to life, body or health, and where mandatory law requires. In the case of a slightly negligent breach of material contractual obligations, liability is limited to foreseeable damage typical of the contract. Otherwise, liability is excluded to the extent permitted by law.
15. Applicable law and final provisions
Austrian law applies, excluding its conflict-of-law rules and the United Nations Convention on Contracts for the International Sale of Goods. For disputes with businesses, the competent court at the Provider's registered place is agreed to the extent permitted by law. Mandatory statutory provisions remain unaffected.
